Bylaws of The Scripps College Alumnae Association

Article I NAME
The name of this organization shall be the SCRIPPS COLLEGE ALUMNAE ASSOCIATION, a non-profit corporation organized under and pursuant to the general non-profit corporation laws of the State of California.

Article II PURPOSE
The purpose and chief objectives of this Association shall be to:
  • develop a sense of mutual responsibility between alumnae and the College;
  • encourage alumnae to maintain a continuing relationship with the College;
  • enlist alumnae in constructive endeavors for the College including, but not limited to, their financial support; and
  • keep alumnae informed about the activities of the Association, its membership and the College.

Article III MEMBERSHIP
Section 1. Anyone who has been a member of the student body of Scripps College may be a member of the Alumnae Association.
Section 2. Any member who is not an employee of the College is eligible to serve as an officer of the Association.
Section 3. In lieu of dues, members should support the College according to their ability through the Annual Fund.

Article IV MEETINGS AND ACTIVITIES
Section 1. There shall be one general meeting of the Association each fiscal year. The Executive Committee shall fix the time, place, and purpose of the general meeting and the Director of Alumnae Relations shall so notify, in writing, the general membership at least three weeks in advance thereof.
Section 2. The Association shall sponsor such activities as the Alumnae Leadership Council may deem appropriate.
Section 3. FISCAL YEAR
The fiscal year of the College and hence of the Association begins on the first day of July and ends on the thirtieth day of June.


Article V OFFICERS
Section 1. DEFINITION
The officers of the Association shall be a President, two Vice-Presidents, an Annual Fund Chair, and two Alumna Trustees. The President-Elect and the Annual Fund Chair-Elect shall be officers during their terms of office.
Section 2. TERM OF OFFICE
The President shall hold office for a two-year term or until her successor is elected; the President-Elect shall hold office for a one-year term and will automatically assume the office of President at the end of her one-year term or in the absence of the President. The Annual Fund Chair shall hold office for a two-year term or until her successor is elected; the Annual Fund Chair-Elect shall hold office for a one-year term and will automatically assume the office of Annual Fund Chair at the end of her one-year term or in the absence of the Annual Fund Chair. The Vice-President shall hold office for not more than two consecutive two-year terms or until her successor is elected. Alumna Trustees shall each hold office for not more than two consecutive three-year terms or until her successor is elected.
The President-Elect and the Vice-President shall be elected on odd-numbered years. The Annual Fund Chair-Elect shall be elected on even-numbered years. Alumna Trustees shall be elected every three years.
Section 3. DUTIES
a) General
It is the duty of each officer to attend all Executive Committee, Alumnae Leadership Council, and general Association meetings.
b) President
She shall preside at all meetings of the Executive Committee, Alumnae Leadership Council, and the Association; serve as an ex-officio member of all committees; represent with voice and vote the Association at Scripps College Board of Trustees meetings; appoint, with the approval of the Executive Committee, such other committees as the Alumnae Leadership Council may deem necessary to carry out the work of the Association; perform such other duties as may be appropriate.
c) President-Elect
She shall attend all meetings of the Executive Committee, Alumnae Leadership Council, the Association, and the Board of Trustees; serve asan ex-officio member of all committees; perform such other duties as requested by the President.
d) Vice-President
She shall attend all meetings of the Executive Committee, Alumnae Council, the Association, and other committees as appropriate; serve as an ex-officio member of the Leadership Development Committee; seek to cultivate interest and organize activities in areas with high concentrations of alumnae; perform such other duties as requested by the President.
e) Annual Fund Chair
She shall attend all meetings of the Executive Committee, Alumnae Council, the Association, and other committees as appropriate; serve as an ex-officio member of the Leadership Development Committee; chair the Annual Fund Committee and appoint members of that committee.
f) Annual Fund Chair-Elect
She shall attend all meetings of the Executive Committee, Alumnae Council, the Association, the Annual Fund Committee, and other committees as appropriate; serve as an ex-officio member of the Leadership Development Committee; perform such other duties as requested by the Annual Fund Chair.
g) Alumna Trustee
She shall attend all meetings of the Executive Committee, Alumnae Council, the Association, and other committees as appropriate; represent with voice and vote the Association at Scripps College Board of Trustees meetings; serve as an ex-officio member of the Leadership Development Committee; perform such other duties as described in the College Bylaws.
Section 4. RESIGNATIONS
Three or more consecutive absences without sufficient cause from regular Executive Committee, Alumnae Leadership Council or general Association meetings may constitute resignation.
Section 5. VACANCIES
If an office becomes vacant, the Leadership Development Committee shall submit to the Alumnae Council, its nomination to fill the unexpired term. Nominees must be members who have indicated their willingness to serve. Additional nominations from the floor shall be permitted. A ballot shall be distributed by mail to the Alumnae Leadership Council and the Council shall vote by mail.

Article VI EXECUTIVE COMMITTEE
Section 1. MEMBERS
The Executive Committee shall consist of the officers of the Association.
The Director of Alumnae Relations shall serve as an ex-officio member of this committee.
Section 2. DUTIES
The duty of the Executive Committee shall be to recommend policy to the Alumnae Leadership Council and to approve appointments made by the President.
During the intervals between the meetings of the Alumnae Leadership Council, the Executive Committee is empowered to transact business for the Association.
Section 3. MEETINGS
There shall be four regular meetings of the Executive Committee held during the fiscal year. The Executive Committee shall fix the time, place, and purpose of the meetings prior to the first Alumnae Council meeting. Special meetings may be called by the President. The purpose of the meeting shall be stated in the call.
Section 4. QUORUM
A majority of the members of the Executive Committee shall constitute a quorum for transacting business.

Article VII ALUMNAE LEADERSHIP COUNCIL
Section 1. MEMBERS
The Alumnae Leadership Council shall consist of the Executive Committee, the Chairs of all standing committees or their designated representative, and the Recent Graduate Trustees. The Scripps Associated Students President shall serve as an ex-officio member of the Alumnae Leadership Council, or in case of her inability to serve, an elected alternate from SAS.
There shall be two Alumna Trustees each with terms of office on the Alumnae Leadership Council concurrent with her term as a member of the Board of Trustees. Alumna Trustees shall be elected by the Association for not more than two consecutive three-year terms or until her successor is elected.
There shall be three Recent Graduate Trustees each with terms of office on the Alumnae Council concurrent with her term as a member of the Board of Trustees. Recent Graduate Trustees shall be elected by the members of the Senior Class for one three-year term or until her successor is elected.
Section 2. DIRECTOR OF ALUMNAE RELATIONS
The Director of Alumnae Relations shall be appointed with the joint approval of the President of Scripps College and the Alumnae Leadership Council. She shall have administrative status and offices at Scripps College.
The Director of Alumnae Relations shall act as coordinator between the College and the Association, and through her efforts shall further the purposes of the Association.
The Director of Alumnae Relations shall serve as Secretary and shall keep a record of the proceedings of the Association. She shall serve as an ex-officio member of all committees.
Section 3. DUTIES
The duty of the Alumnae Leadership Council shall be to carry out the work of the Association.
Section 4. MEETINGS
There shall be four regular meetings of the Alumnae Leadership Council held during the fiscal year prior to the Board of Trustees meetings. Special meetings may be called by the President with the approval of the Executive Committee. The purpose of the meeting shall be stated in the call.
Section 5. QUORUM
A majority of the members of the Alumnae Leadership Council shall constitute a quorum for transacting business.

Article VIII STANDING COMMITTEES
Section 1. ANNUAL FUND COMMITTEE
The duty of this committee shall be to raise funds for Scripps College. The Chair shall coordinate the activities for the Annual Fund.
Section 2. LEADERSHIP DEVELOPMENT COMMITTEE
The President shall appoint, with the approval of the Executive Committee, a five-member Leadership Development Committee. The Chair of the Leadership Development Committee shall be a former member of the Alumnae Council.
The duty of this committee shall be to submit nominations to the Alumnae Leadership Council for the election of officers.
A majority of the members of the Leadership Development Committee shall constitute a quorum at a committee meeting.

Article IX NOMINATION AND ELECTION OF OFFICERS
Section 1. Nominations for officers shall be submitted by the Leadership Development Committee to the Alumnae Leadership Council at the third regular Council meeting. Nominees must be members who have indicated their willingness to serve. Additional nominations from the floor shall be permitted.
Section 2. A ballot shall be distributed by mail to the Association and the Association shall vote by mail.
Section 3. The President-Elect, Vice-President, Annual Fund Chair-Elect and Alumna Trustee shall assume office as of July 1, the beginning of the College’s fiscal year.
Section 4. The Chair of the Leadership Development Committee shall forward the name of the Alumna Trustee to the Chair of the Nominations and Governance Committee for ratification by the Board of Trustees.

Article X PARLIAMENTARY AUTHORITY
Robert’s Rules of Order shall be the authority on all questions not covered by these Bylaws.

Article XI AMENDMENTS
These bylaws may be amended by a two-thirds vote at any regular or special meeting of the Alumnae Leadership Council, provided that the amendment has been submitted in writing prior to the meeting.
